三、辦理程序III.Procedures

第一步：申請(qǐng)人持相關(guān)材料向市政務(wù)服務(wù)中心工商局窗口提出申請(qǐng)，經(jīng)受理審查員初審?fù)ㄟ^，開具《受理通知書》或者《申請(qǐng)材料接收單》;不符合受理?xiàng)l件的，在當(dāng)場(chǎng)或者5個(gè)工作日內(nèi)一次性告知申請(qǐng)人應(yīng)當(dāng)補(bǔ)正的全部材料(出具告知單)。Step1:TheapplicantshallsubmitrelevantapplicationmaterialstotheservicewindowoftheMunicipalAdministrationofIndustry&CommercewithintheMunicipalGovernmentAffairsServiceCenter.Havingpassedthroughthepreliminaryinspection,theinspectorwilldrawaNotificationofAcceptanceoraReceiptofApplicationMaterials.Forthoseapplicationsunqualifiedforacceptance,allmaterialstobesupplementedshallbeinformedtotheapplicantonthespotorwithin5workingdays(anotificationshallbeissued).

第二步：對(duì)申請(qǐng)人申請(qǐng)材料齊全、符合法定形式的，當(dāng)場(chǎng)作出核準(zhǔn)或者駁回申請(qǐng)的決定。Step2:Forapplicationsaccompaniedwithallmaterialsrequiredandinthestatutoryform,decisionsofapprovalorrejectionofthemshouldbemadeatspot.

第三步：在承諾時(shí)限內(nèi)，申請(qǐng)人可以憑《受理通知書》到外資登記窗口領(lǐng)取《外商投資企業(yè)名稱預(yù)先核準(zhǔn)通知書》。Step3:Inpromisedtimelimit,theapplicantcangetNotificationofAlterationoftheNameofForeign-CapitalEnterpriseattheForeign-CapitalEnterpriseregistrationwindowwithNotificationofAcceptance.

2.指定代表或者共同委托代理人的證明CertificationontheDesignatedRepresentativeorJointlyEntrustedAgent

3.全體投資人的資格證明復(fù)印件Copiesofqualificationcertificatesofallinvestors

4.其他有關(guān)文件、證件;Otherrelevantdocumentsandcertificates;

4.企業(yè)申請(qǐng)預(yù)先核準(zhǔn)的名稱(字號(hào))在同行業(yè)中是否重復(fù)，是否符合《企業(yè)名稱登記管理規(guī)定》第六、七、八條要求。Whetherthename(brand)appliedforpriorapprovalisrepeatedintheindustryorisconformitywiththerequirementsspecifiedinarticle6,7and8ofProvisionsontheAdministrationofEnterpriseNameRegistration.

5.企業(yè)申請(qǐng)?jiān)陬A(yù)先核準(zhǔn)的名稱中冠以“中國(guó)”、“中華”、“全國(guó)”、“國(guó)際”等字樣的，需國(guó)務(wù)院決定。IncaseanenterpriseappliesforpriorapprovalofanamebegunwithChinesecharacterslike“中國(guó)(China)”,“中華(Chinese)”,“全國(guó)(National)”and“國(guó)際(International)”,itshallbedecidedbytheStateCouncil.

6.企業(yè)申請(qǐng)?jiān)陬A(yù)先核準(zhǔn)的名稱中間使用(中國(guó))的，應(yīng)符合下列條件：外商獨(dú)資企業(yè)或外方控股企業(yè);使用外方出資企業(yè)字號(hào);符合無行政區(qū)劃的條件。IncaseanenterpriseappliesforpriorapprovalofuseofChinesecharacters中國(guó)(China)amiditsname,thefollowingrequirementsshallbemet:exclusivelyforeign-ownedenterpriseorforeignholdingenterprise;usenameoftheforeignenterprisewhichmakescontribution;noadministrativedivisioninvolved.

7.企業(yè)申請(qǐng)無行政區(qū)劃的名稱應(yīng)符合《企業(yè)名稱登記管理規(guī)定實(shí)施辦法》第十三條規(guī)定。Incaseofapplicationforenterprisenamewithoutadministrativedivision,article13ofMeasuresfortheImplementationofProvisionsonAdministrationofEnterpriseNameRegistrationshallbeobserved.

8.企業(yè)申請(qǐng)預(yù)先核準(zhǔn)的名稱中不使用國(guó)民經(jīng)濟(jì)行業(yè)類別用語(yǔ)表述的，應(yīng)符合《企業(yè)名稱登記管理規(guī)定實(shí)施辦法》第十八條規(guī)定。Incaseofapplicationforpriorapprovalofenterprisenamewithoutexpressionofnationaleconomyindustrycategoryterms,article18ofMeasuresfortheImplementationofProvisionsonAdministrationofEnterpriseNameRegistrationshallbeobserved.

9.企業(yè)申請(qǐng)預(yù)先核準(zhǔn)的名稱中的行業(yè)表述應(yīng)代表其主要經(jīng)營(yíng)范圍，企業(yè)名稱不應(yīng)當(dāng)明示或者暗示有超越其經(jīng)營(yíng)范圍的業(yè)務(wù)。Industryexpressioninthenameappliedforpriorapprovalshallrepresentitsbusinessscopeandtheenterpriseshallnotexpressorimplyitsinvolvementofbusinessbeyonditsbusinessscope.

10.企業(yè)申請(qǐng)的名稱預(yù)先核準(zhǔn)和變更核準(zhǔn)通知書有效期為6個(gè)月，有效期滿仍未登記或使用，核準(zhǔn)的名稱自動(dòng)失效。Priorapprovalofnameandnotificationofalterationapprovalshallbevalidfor6months,andtheapprovednamewillloseefficacyautomaticallyifithasn’tbeenregisteredoruseduponexpirationofitsvalidityterm.

4.《外商投資企業(yè)名稱預(yù)先核準(zhǔn)通知書》的延期應(yīng)當(dāng)在有效期滿前一個(gè)月內(nèi)申請(qǐng)辦理，申請(qǐng)延期時(shí)需繳回《外商投資企業(yè)名稱預(yù)先核準(zhǔn)通知書》原件。ExtensionofthetermofvalidityofNotificationonPriorApprovaloftheNameofForeign-CapitalEnterpriseshallbeappliedfor1monthbeforeexpirationofitstermofvalidity.OriginalNotificationonPriorApprovaloftheNameofForeign-CapitalEnterpriseshallbehandedinwhenapplyingforextension.
